User Agreement

It is important that you read the information below. This agreement is known as the Webxotic LLC (“Webxotic”, “Company”, “We” or “Us”) User Agreement (the “User Agreement”). By accessing our Website, located at www.webxotic.com (the “Website”), our Gaming Website located at bitcoinempires.io (the “Gaming Website” and together the “Websites”), and using our Services, such as our games, mobile games, applications, products, virtual goods, goods, surveys, promotions, contests, community support, related activity, and information offered by the Company (the “Services”), you agree to be bound by the terms and conditions of this User Agreement. If you disagree with any of the terms herein, please stop accessing our Websites and stop using our Services.

We reserve the right, at our sole discretion, to change, modify, add, or remove portions of this User Agreement, at any time. It is your responsibility to check this User Agreement periodically for updates and changes. Changes to this User Agreement will be posted to our Website and/or within our Services. Your use of our Websites and Services signifies your acceptance to this User Agreement, and your continued use of the Websites and Services after any changes to this User Agreements signifies your acceptance of any changes.

  1. User Accounts

In order to use our Websites and Services, you may be required to open an account with Webxotic. When you open an account with Us, you will be required to provide Us with personally identifiable information, such as but not limited to: your name, email address, address, telephone number, date of birth, and credit card information. By opening an account with Webxotic, you grant us permission to contact you about your account and our Websites and Services. The Company retains the absolute right to suspend, pause, or posted terminate any account for violation of this User Agreement and Webxotic’s other online policies, such as the Code of Conduct Agreement.

  1. Age Restriction for Use

Our Services are not intended for use by persons under the age of 13. If you are under the age of 13, please do not use our Websites or Services. If you are between the ages of 13 and 18, you may use our Websites and Services only with the consent of your parent and/or legal guardian. If you are under the age of 18, when you register for an account with Us, you may be required to provide your parent or guardian’s online contact information in order for Us to obtain the parent’s consent, which they are not required to give. If the parent or legal guardian does not provide consent, a child under the age of 18 may not use our Services. The parent or guardian’s online contact information will not be used or disclosed for any other purpose.

We shall only retain personal information collected online from a child for only as long as is reasonably necessary to fulfill the purpose for which the information was collected. If we discover that we have collected personal information regarding a child under the age of 13, we will delete it immediately.

The Websites and Services may only be used without parental consent under the following conditions:

– you are over the age of 18;

– you are not required to have a third-party provide consent, if they possess power-of-attorney, due to a disability or medical condition;

– there are no national, regional, or local laws prohibiting the use of the Website, either directly or in vague terminology; and

– you can legally provide identifying credentials if/when you are asked for them.

You acknowledge and agree that all content saved or published to the Websites or Services by you, and all content provided by Webxotic, is or becomes property of the Company. Content copyrighted and/or trademarked by you is considered as having your explicit permission to be used in the manner in which you have provided it to the Company. At any time should you wish to revoke that permission, you must delete your posting and provide Webxotic certified written notice seeking removal of the copyrighted and/or trademarked content. The Company has 60 days to comply with the request from the time it was documented as received, and is not responsible for third party downloads of content that you have posted to Company property.

By posting messages, uploading files, inputting data or engaging in any other form of communication (individually or collectively “Communications”) to the Websites or the Services, you hereby grant to Webxotic a perpetual, worldwide, irrevocable, unrestricted, non-exclusive, royalty free license to use, copy, license, sublicense, adapt, distribute, display, publicly perform, reproduce, transmit, modify, edit and otherwise fully exploit such Communications, in all media now known or hereafter developed. You hereby waive all rights to any claim against Webxotic for any alleged or actual infringements of any proprietary rights, rights of privacy and publicity, moral rights, and rights of attribution in connection with such Communications.

Webxotic does not represent or endorse the accuracy or reliability of any advice, opinion, statement or other information displayed or distributed through the Websites or Services. You acknowledge that any reliance upon any such opinion, advice, statement, memorandum, or information shall be at your sole risk. Webxotic reserves the right, in its sole discretion, to correct any errors or omissions in any portion of the Websites or the Services.

  1. Disclosures

Webxotic reserves the right at all times to disclose any information as necessary to satisfy any law, regulation, or government request, or to edit, refuse to post or to remove any information or materials, or Communication, in whole or in part, that in the Company’s sole discretion are objectionable or in violation of this Agreement.

You acknowledge that Communications involving the Services are not confidential and that Communications may be read or intercepted by others. You acknowledge that by submitting Communications to Webxotic, no confidential, fiduciary, contractually implied or other relationship is created between you and Webxotic other than pursuant to this User Agreement.

  1. Personal Noncommercial Use

The Website, Gaming Website, and Services are only for your personal and noncommercial use.

  1. Warranties

WEBXOTIC, AND OUR AFFILIATES, DISTRIBUTORS, AND VENDORS, MAKE NO WARRANTIES, EXPRESS OR IMPLIED, GUARANTEES OR CONDITIONS WITH RESPECT TO YOUR USE OF THE WEBSITE, GAMING WEBSITE, OR SERVICES. YOU UNDERSTAND THAT USE OF THE WEBSITE, GAMING WEBSITE, OR SERVICES IS AT YOUR OWN RISK AND THAT WE PROVIDE THE WEBSITE, GAMING WEBSITE, OR SERVICES ON AN “AS IS” BASIS “WITH ALL FAULTS” AND “AS AVAILABLE.” YOU BEAR THE ENTIRE RISK OF USING THE WEBSITE, GAMING WEBSITE, OR SERVICES. WEBXOTIC DOESN’T GUARANTEE THE ACCURACY OR TIMELINESS OF THE WEBSITE, GAMING WEBSITE, OR SERVICES. TO THE EXTENT PERMITTED UNDER YOUR LOCAL LAW. WE EXCLUDE ANY IMPLIED WARRANTIES, INCLUDING FOR MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OR THAT CONTENT LOSS WON’T OCCUR, NOR DO WE GUARANTEE ANY CONNECTION TO OR TRANSMISSION FROM THE COMPUTER NETWORKS.

  1. Limitation of Liability

If you have any basis for recovering damages (including breach of this User Agreement or other online agreement), you agree that your exclusive remedy is to recover, from Webxotic or any affiliates, distributors, Third-Party Apps and Services providers, and vendors, direct damages up to an amount equal to your fees paid by you to Webxotic for the month during which the loss or breach occurred (or up to $10.00 if the Services are free). You cannot recover any other damages or losses, including direct, consequential, lost profits, special, indirect, incidental, or punitive. These limitations and exclusions apply even if this remedy doesn’t fully compensate you for any losses or fails of its essential purpose or if we knew or should have known about the possibility of the damages. To the maximum extent permitted by law, these limitations and exclusions apply to anything or any claims related to these Terms, online agreements, the Services, or the software related to the Services.

  1. Safety Warning

Webxotic recommends that in order to enjoy your gaming experience and avoid discomfort, possible injury, or eye strain, you should take occasional breaks from use of our Website, Gaming Website, or Services, especially if you feel any pain or fatigue resulting from usage. If you experience discomfort, take a break. Discomfort might include feelings of nausea, motion sickness, dizziness, disorientation, headache, fatigue, eye strain, or dry eyes. Using applications can distract you and obstruct your surroundings. Avoid trip hazards, stairs, low ceilings, fragile or valuable items that could be damaged. A very small percentage of people may experience seizures when exposed to certain visual images like flashing lights or patterns that may appear in applications. Even people with no history of seizures may have an undiagnosed condition that can cause these seizures. Symptoms may include lightheadedness, altered vision, twitching, jerking, or shaking of limbs, disorientation, confusion, loss of consciousness, or convulsions. Immediately stop using and consult a doctor if you experience any of these symptoms, or consult a doctor before using the applications if you’ve ever suffered symptoms linked to seizures.

Webxotic does not provide medical or any other health care advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health care provider with any questions you may have regarding a medical condition, diet, fitness, or wellness program. Never disregard professional medical advice or delay in seeking it because of information you accessed on or through the Services.

  1. Choice of Law and Venue

This User Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflicts of laws principles. You hereby agree and consent that the sole and exclusive jurisdiction for any action or proceeding arising out of or relating to this User Agreement shall be the State or Federal Courts located in Maricopa County in the State of Arizona.

  1. Miscellaneous

Any cause of action you may have with respect to your use of and access to the Website, Gaming Website, and Services must be commenced within one (1) year after the claim or cause of action arises. If for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give legal effect to the intent of the Agreement, and the remainder of this Agreement shall continue in full force and effect.

A printed version of this User Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement or the Services to the same extent and subject to the same conditions as other business documents and records generated and maintained in printed form by Webxotic.

The failure of Webxotic to enforce any provision of this User Agreement shall not be deemed a waiver of such provision nor bar the Company’s right to enforce the provision.

FAQS RELATING TO YOUR USE OF THE WEBSITE, GAMING WEBSITE AND SERVICES

 

I’m interested in using Bitcoin Empires art on a website, in a project, or Webxotic fansite. May I use Bitcoin Empires content, such as images, text, sounds, or video?

Yes, you may use our content (e.g., images, text, video, audio, and other media assets that we own) (the “Content”) that relates to Bitcoin Empires, within the following specific parameters:

– The Content must be used in a non-commercial context for private, personal use only (i.e., not for use by a company or for profit).

– You must include all copyright and other notices associated with the Content.

– You acknowledge and agree that no title nor any other form of ownership to the Content has been or will be transferred to you from Webxotic, nor from anyone else

– You agree that you will not alter, disassemble, decompile, reverse-engineer or in any other way modify the Content.

– You agree that you will not present the Content as officially sanctioned or professionally associated with Webxotic.

– You agree that Webxotic has the right to require removal of our Content at any time, for any reason, or no reason.

– You may not use our Content on sites that contain or link to sites containing:

  • Hacks or cheats
  • Pornography
  • Inflammatory Content
  • Unlawful content
  • Objectionable content, as determined by Webxotic, in its sole discretion

 

 What is your policy regarding copyrights and trademarks? May I use your art or images for items, such as clothing, toys, or other game-related goods?

Our art assets–be they concept art, in-game screenshots, verbal content, or renders–are all copyrighted materials. Their use is strictly prohibited unless approved in advance and in writing by Webxotic. Specific questions concerning the appropriate use of our Content should be directed to, as applicable, support@webxotic.com

 

 Are there any legal notices and disclaimers that I need to have on my site when talking about your products?

Yes. You must include all copyright, trademark, and other notices as appropriate. The following are the appropriate copyright and trademark designations:

The interlocking Webxotic logo, the trade name “Bitcoin Empires” and the Bitcoin Empires game, and all associated logos, designs, and composite marks are copyrights, trademarks, or registered trademarks of Webxotic, LLC. All other copyrights and trademarks are the property of their respective owners.

 

Is there a preferred way to create my site’s logo or masthead?

To avoid confusion between guild or alliance sites, fansites, and official Webxotic sites, we require that you include some manner of designation within your masthead that indicates the site’s status as a guild site, alliance site, or fansite unaffiliated with Webxotic. The site may be labeled as a “news site,” “fansite,” “guild site,” “alliance site,” “unofficial site,” “community site,” or using another designation that has been approved by our Community Team. In addition, the internet browser title bar must reflect the proper site designation to prevent confusion between official and unofficial sites.

 

 Are there restrictions on what I name my site or what domain I purchase for my site?

Webxotic would prefer that unofficial sites do not closely mimic the names of our proprietary domains. Sites with names that closely mirror our own site names can cause confusion for our customers, may cause some to assume that the domain is officially sanctioned or professionally associated with Webxotic, or dilute our brand. We may require changes to domain names that are confusingly similar to one of our domains. You’re welcome to discuss potential domain names with the appropriate Community Team, who can be reached at: support@webxotic.com.

 

Can I put Bitcoin Empires media downloads on my website?

Yes, you may do so within the guidelines outlined above. We allow the non-commercial mirroring of our downloadable content, such as images, videos, etc., provided that the content is not altered in any way. This permission may be rescinded at any time at the sole discretion of Webxotic. Such permission does not extend to any game clients or software, of course.

 

Can I translate your site into another language if there is no official site in that language?

No, unfortunately, we cannot allow our Website, Gaming Website, or Services to be translated at this time. It’s essential that we maintain control over content integrity and accuracy, and for that reason we have localized our Website in English, and the games in English and Spanish. In the interests of quality control, unofficial translations of our websites are not permitted.

 

Can I make add-ons for Webxotic games?

No.

 

 Can I sell a CD or any other distribution media containing content from Webxotic?

No.

 

Can I resell, give away, or trade my Bitcoin Empires or Webxotic account? Can I sell items on my account for real-world money or trade them for items in another game?

 Can I write a story, book, poem, musical composition, etc., based on your game?

We appreciate the creative processes and the passion of our fans, but it’s essential that we maintain commercial control over our product. Therefore, commercial productions are all sourced from Webxotic. The Company would view any attempt to advance storylines or other creative works about our games or characters as copyright infringement. However, limited and private usage of our game word, characters, or other elements of our game in literary or musical pieces that follow the parameters listed above are permissible within the sole discretion of Webxotic. We do not permit the unauthorized use of our game world, our characters, or any other elements of our game in any form that involves profit or commercial benefit, such as novels, short stories, articles, unauthorized contest or competition entries, screenplays, action figures, theatrical productions, songs, or other adaptations of our game.

 

 I have an idea for a commercial venture (play, movie, action figure, etc.) involving the Bitcoin Empires. Shall I send it to you?

Yes. If you wish to submit an idea or proposal, please send it to contact@webxotic.com By submitting, you acknowledge that Webxotic LLC may review, evaluate, or develop ideas independently of your submission. Please note that submissions will not be treated as confidential unless otherwise agreed upon in writing. Webxotic LLC is under no obligation to enter into any further relationship or compensation agreement as a result of receiving your submission.

 

 Can I create and/or distribute hack and cheats for your games?

No. Webxotic is 100% against hacks and cheats. Their use, attempted use, or distribution will result in the closure of any individual game accounts that are associated with the hacks or cheats as well as possible legal action.

I am testing Bitcoin Empires. Can I post or otherwise share images or information related to the game?

All in-game images, content and information are the property of Webxotic, and during the testing process, all test-related images, content, and information will be released or authorized for release exclusively by Webxotic. Any tester who releases test-related Bitcoin Empires content, information, or images without our prior written permission will be considered in breach of his or her Non Disclosure Agreement, and will be subject to removal from the test and possible legal action.

 

May I use the Bitcoin Empires Application Programming Interface (the “APIs”) to create an application and what rules apply?

You may use the APIs to create applications or other creative projects so long as you follow our application developer terms and conditions here:

We grant you a non-transferable, non-exclusive, non-sublicensable, revocable license to access and use the APIs solely to develop one or more applications.

You are not permitted to: modify the APIs; reverse engineer, decompile, decipher, translate, disassemble or otherwise attempt to access source code of the APIs, except and only to the extent that applicable law expressly permits, despite this limitation; publish, rent, lease, lend, sell, sublicense, distribute, transfer, disclose or otherwise provide the APIs to any third party; remove or alter any proprietary notices or labels in the APIs or any portion thereof; use the APIs to infringe the rights of Webxotic LLC, its affiliates, or any third party, or in any way that does not comply with all applicable laws.

We own all title, copyright, and other intellectual property rights in the APIs (and any derivative works and enhancements thereof) and reserve all rights not expressly granted to you in this User Agreement. The APIs (and any derivative works and enhancements thereof) are protected by copyright and other intellectual property laws and treaties. As between us and you and except for the APIs contained in any application you develop, you own all title, copyright, and other intellectual property rights in the application you develop. Any rights not expressly granted in this Content Terms of Use are withheld.

Your application using the APIs may be sold or contain in app purchases, but may not compete with us and will otherwise comply with these Content Terms of Use.

We may revoke your right to use the APIs at any time for any or no reason.

We may update and modify the APIs at any time in our sole discretion, and that these updates or modifications may impact the application you have developed to use the APIs is of no consequence to the Company. If we update or modify the APIs, you may need to change or update the application you have developed in order for your application to continue to operate. We may, in our sole discretion, provide updated or new APIs. If any update or modification is unacceptable to you, you may elect not to use the updated or modified APIs. We have no obligation to provide, continue to provide, or continue to support the APIs, and may suspend or stop providing access to or support for the APIs at any time without liability.

We may create and/or amend any terms or conditions applicable to the APIs or their use at any time and from time to time.

Your continued use of the APIs constitutes acceptance of these terms and conditions contained in this User Agreement and any related terms or conditions when they are posted.
